Bonus Content: NextEra’s $67 Billion Merger Just Hit a Wall in Richmond
Hi Friend,
Just wanted to let you know you can now get a free copy of my new strategy guide here:
How to Master the Retirement Trade [PDF]
What’s the Retirement Trade?
It’s a simple trading opportunity that appears almost every trading day, between 9:30 and 10:45 am EST where traders are making between $300-$1,100+ per contract.
One of my favorite parts about this trade is how predictable it is. It occurs about 3-5 times each week. And once you know what you’re looking for, and how to enter/exit the trade, this could become another nice stream of income for you.
I’m not sure how long I’ll leave this guide up for. So do yourself a favor and take 5 seconds to download it now. At least you’ll have a copy stored for future use!

NextEra’s $67 Billion Merger Just Hit a Wall in Richmond

Hey there, bargain hunter. One of the biggest utility deals on the board just got a very public slap in Richmond this fall, and it is happening right as the stock has been quietly rebuilding from a 52-week low.
Scoreboard
Virginia State Corporation Commission staff recommended rejecting the $67 billion Dominion-NextEra merger as proposed unless binding ratepayer conditions are added, with staff’s recommendation filed on October 19, 2026. NEE closed at $86.95 on November 6, 2026, still well below its 52-week high of $98.75 but meaningfully above the $74.41 floor hit on October 1, 2026.
What Actually Happened
In a 201-page filing, SCC staff concluded that Dominion and NextEra had not demonstrated the merger would preserve adequate utility service at just and reasonable rates, as required under Virginia’s Utility Transfers Act. Regulatory resistance has also come from Virginia’s governor, the Attorney General, and the Lieutenant Governor, all of whom have pushed for a six-year residential base-rate freeze and other consumer protections. That is a lot of voices in one room.
Critically, SCC staff said it would not oppose approval if the companies agreed to binding conditions, including ring-fencing style guardrails such as governance protections, limits around cash and dividend flows, and workforce commitments. This is not a funeral. It is a negotiation.
Why the Deal Still Has Legs
The NextEra board built this merger around the expectation that U.S. electricity demand grows roughly 60% by 2045, with the combined company positioned to serve a large-load customer pipeline of more than 130 gigawatts across the United States.
NextEra has raised its data center and large-load demand forecast at Florida Power and Light to 8 gigawatts by 2032, with about 21 gigawatts of large-load interest in its pipeline. Adding Dominion’s Virginia footprint, which sits at the geographic center of U.S. data center construction, makes that number significantly larger.
The scramble for power in Virginia’s data center corridor is not limited to regulated utilities. Constellation Energy, down sharply from its peak, is signing long-term nuclear contracts with the same hyperscalers competing for grid capacity.
The transaction is expected to close in the second half of 2027, and the combined company is targeting about 11% annual growth in regulatory capital employed through 2032 and more than 9% adjusted EPS growth through 2032, with the companies also targeting that same 9%+ growth through 2035 off the 2025 base.
Is It Cheap?
Q3 2026 adjusted EPS came in at $1.24 versus $1.18 a year earlier, an increase of about 9.7%. Management kept full-year 2026 guidance at $3.92 to $4.02 and said it is targeting the high end.
At a normalized P/E of 22x, NEE trades at a premium to peers Duke Energy at 19x and Southern Company at 18.8x, but the premium reflects a growth engine those two cannot match. The Virginia regulatory cloud is the discount mechanism here, not fundamental deterioration.
Bull / Base / Bear
- Bull: Virginia SCC commissioners accept conditions, the deal closes in the second half of 2027, and the combined 130-GW pipeline gets priced in. NEE re-rates toward $98.
- Base: Merger closes with material concessions including rate freezes. EPS growth slows slightly to 8% but remains durable. Stock grinds toward low $90s.
- Bear: The deal collapses under heavy leverage and regulatory opposition. Pro forma merger materials have shown long-term debt well into the $100+ billion range, which gives regulators and credit rating agencies plenty to argue about. NEE retraces to standalone utility multiples, retesting the $74 low.
Cheap Investor Checklist
- Virginia SCC commissioners rule: watch for binding conditions vs. outright denial
- FERC and NRC approvals still pending
- Full-year 2026 EPS guidance: $3.92 to $4.02, targeting high end
- Large-load pipeline: 130+ GW combined; FPL data center forecast at 8 GW by 2032
- Q3 adjusted EPS growth: 9.7% year over year
- 52-week range: $74.41 to $98.75; current price near midpoint
- Merger close target: second half of 2027
Bottom Line
If Virginia’s SCC commissioners accept the conditions their own staff proposed, this merger closes and NEE owns the largest regulated utility in the country at the epicenter of AI power demand. If the deal fractures, you still own a utility growing earnings near 10% annually with a 130-GW pipeline. The stock is not pricing either outcome generously right now. That is the opportunity, and the risk, in one sentence.
